Legal & Terms

Terms & Conditions

Last updated: 26 September 2026

1. About these Terms

These Terms and Conditions (“Terms”) govern the use of the Ventaro website, the creation and publication of business-for-sale listings, the use of Ventaro's tools and calculators, and the purchase and use of any paid listing or promotional services provided by Ventaro.

Ventaro is operated by Ventaro Ltd, a company registered in England and Wales under company number 17492393, whose registered office is at 13 Police Street, Manchester, M2 7LQ, trading as Ventaro (“Ventaro”, “we”, “us” or “our”).

You can contact us at info@ventaro.co.uk.

By creating an account, submitting a business listing, purchasing a service or otherwise using Ventaro, you agree to these Terms.

Our seller services are intended for business purposes. By submitting a business for sale or purchasing a seller service, you confirm that you are acting in connection with a business and not as a consumer.

2. What Ventaro Does

Ventaro is an online marketplace and advertising platform designed to bring together people and organisations wishing to sell businesses with prospective buyers.

Ventaro is not a business broker.

We provide a platform through which businesses can be advertised and buyers and sellers can make contact with each other.

Unless expressly stated otherwise, Ventaro does not:

  • act as an agent or broker for either party;
  • provide a professional or formal valuation of businesses;
  • negotiate the sale or purchase of a business;
  • verify accounts, financial information or other information supplied by sellers;
  • carry out due diligence;
  • provide legal, financial, tax, accounting or investment advice;
  • prepare sale agreements or other transaction documentation;
  • hold or transfer money forming part of a business sale;
  • represent either buyer or seller during a transaction; or
  • receive a commission or success fee if a business is sold.

Any subsequent discussions, negotiations or transaction are between the buyer and seller and their respective professional advisers.

3. Seller Eligibility and Authority

A person submitting a business to Ventaro must be the owner of the business or have appropriate authority from the owner to advertise the business for sale.

By submitting a listing, you confirm that:

  • you have authority to advertise the business;
  • the proposed sale is genuine;
  • the information you provide is supplied in good faith; and
  • publication of the listing does not breach any agreement, legal obligation or third-party right.

Ventaro may request evidence of identity, ownership or authority where we reasonably consider this necessary.

We may suspend or remove a listing where we have reason to believe that the person submitting it does not have authority to advertise the business.

4. Seller Responsibility for Listing Information

Sellers create and provide the information contained within their business listings.

This may include, among other things:

  • asking price;
  • turnover or revenue;
  • net profit or other financial information;
  • number of employees;
  • trading history;
  • year established;
  • business description;
  • location;
  • photographs and other images;
  • lease, property or premises information; and
  • any other information supplied in connection with the proposed sale.

The seller is responsible for ensuring that information supplied to Ventaro is accurate, current and not misleading.

Ventaro does not independently verify business listings, financial figures, accounts or other information supplied by sellers.

Publication of a listing by Ventaro does not mean that we have investigated, verified, approved or endorsed the business or any claims made about it.

If information becomes inaccurate or materially changes while a listing is live, the seller should update the listing through their account or notify Ventaro as soon as reasonably practicable.

5. Buyer Responsibility and Due Diligence

Information displayed on Ventaro should be treated as information supplied for advertising and introductory purposes only.

Prospective buyers must carry out their own investigations before entering into any transaction.

We strongly recommend that buyers obtain appropriate independent professional advice, which may include advice from accountants, solicitors, financial advisers, surveyors or other relevant professionals, and that financial records and other material information are independently reviewed before any business purchase is completed.

Buyers should not rely solely upon information contained within a Ventaro listing when deciding whether to purchase or invest in a business.

Ventaro is not responsible for determining whether a business represents a suitable purchase or investment for any particular buyer.

6. Business Listings

Unless otherwise stated at the time of purchase or submission, a standard Ventaro business listing is published for a period of six months.

The standard price for a six-month website listing is £99.

Ventaro may from time to time offer free listings, discounted listings, introductory pricing or other promotional offers.

In particular, free listings may be made available as part of Ventaro's launch or other promotional campaigns. The availability of a free listing at any particular time does not create an entitlement to free listings in the future.

Promotional offers may be introduced, changed or withdrawn at Ventaro's discretion, provided this does not affect services already purchased or agreed.

A listing may end earlier where:

  • the seller marks the business as sold or withdrawn;
  • the seller requests removal;
  • the listing breaches these Terms; or
  • Ventaro removes or suspends the listing in accordance with these Terms.

Expiry of a listing does not guarantee that it can subsequently be renewed on the same price or terms.

7. Website + Shared Promotion

The Website + Shared Promotion package costs £299.

The package includes:

  • one business-for-sale listing on Ventaro for six months; and
  • inclusion within a shared advertising campaign on Meta platforms for a minimum period of 30 days.

Under the Shared Promotion package, the seller's business will appear as one card within a carousel advertisement containing other businesses advertised through Ventaro.

Ventaro determines how shared campaigns are organised. Businesses may, for example, be grouped according to sector, business type, location or another factor that Ventaro considers appropriate.

The seller does not receive an advertisement exclusively dedicated to their business under this package.

Ventaro does not guarantee a particular level of advertising expenditure, impressions, reach, clicks, enquiries or any other advertising result.

8. Website + Dedicated Promotion

The Website + Dedicated Promotion package costs £599.

The package includes:

  • one business-for-sale listing on Ventaro for six months; and
  • a dedicated Meta advertising campaign promoting that individual business for a minimum period of 30 days.

The dedicated advertisement will promote the seller's business without other businesses being included within the same advertisement.

Ventaro will determine the advertising format it considers appropriate. This may include a single-image, video, collection or other suitable Meta advertising format.

Purchase of this package does not entitle the seller to select or require a particular advertising format.

Ventaro does not guarantee a particular level of advertising expenditure, impressions, reach, clicks, enquiries or any other advertising result.

9. Listing and Promotion Extensions

Where available, a seller may purchase an extension to an existing listing or promotional service.

Current standard extension prices are:

  • additional six-month website listing period — £99;
  • additional 30 days of Shared Promotion — £120; and
  • additional 30 days of Dedicated Promotion — £500.

A website listing extension extends the period for which the business listing remains published on Ventaro. It does not automatically extend a Shared Promotion or Dedicated Promotion campaign.

Similarly, purchasing a promotional extension does not by itself extend the underlying website listing unless a listing extension is also included or purchased.

Where a promotional extension is purchased for an existing campaign, the additional promotional period will ordinarily continue from the end of the existing promotional period, subject to platform availability, campaign status and these Terms.

Extension products, prices and availability may change for future purchases. The price and description displayed when an extension is purchased will determine the service purchased.

10. Creation of Promotional Advertising

Where a Shared Promotion or Dedicated Promotion package is purchased, Ventaro will create the promotional advertising material.

We aim to provide the initial promotional advert for seller approval within five working days of the point at which we have received the information and materials reasonably required to begin creating it.

This is a service target rather than a guaranteed deadline. Circumstances outside our reasonable control, unusually high demand, technical issues, delays in receiving information or other operational circumstances may result in the process taking longer.

Where we require further information or materials from the seller, the preparation period may be paused until those materials are received.

11. Advert Design and Templates

Ventaro promotional advertising is created using Ventaro's own advertising formats, templates and design system.

The promotional packages are not bespoke graphic-design services.

Ventaro retains control over the overall design, layout, format, styling and presentation of promotional advertisements.

Sellers may provide or select appropriate images, text and factual information for inclusion, subject to Ventaro's approval and the requirements of the advertising platform.

The seller is not entitled to require Ventaro to redesign its templates, create an entirely bespoke advertising concept or reproduce a design supplied by the seller.

Ventaro may make reasonable formatting, copy, layout or presentation changes where necessary to create the advert or comply with technical or advertising-platform requirements.

12. Advert Approval and Amendments

One reasonable round of amendments is included with each Shared Promotion or Dedicated Promotion package.

The amendment may include reasonable changes to the images, wording or information used within the advert.

It does not include a right to require a completely new design, template or creative concept.

If Ventaro has made a factual, typographical or production error that does not accurately reflect information supplied or approved by the seller, correcting that error will not count as the seller's included amendment.

Additional discretionary changes requested after the included amendment has been completed are not included within the package. Ventaro may decline additional changes or agree to provide them separately.

13. Seller Approval Deadline

When an advert is sent to the seller for approval, the seller has seven calendar days to:

  • approve the advert; or
  • submit their included amendment request, where that amendment has not already been used.

Ventaro may send reminders during this period.

If the seller does not respond within seven calendar days, the advert will be treated as approved by the seller, and Ventaro may proceed with the campaign.

The seller is responsible for checking the advert carefully during the approval period, including names, prices, financial figures, wording, images and other factual information.

Deemed approval has the same effect for the purposes of campaign launch as an express approval.

14. Campaign Launch

Following approval or deemed approval, Ventaro aims to launch the promotional campaign within three working days.

This is a service target and not a guaranteed deadline.

Campaign launch may be affected by matters including Meta's advertising review process, account or platform restrictions, technical problems, events outside Ventaro's reasonable control or other operational circumstances.

Ventaro is not responsible for delays caused by Meta or another third-party platform.

15. Promotional Period

The minimum 30-day promotional period begins when the relevant Meta advertising campaign goes live.

It does not begin when:

  • the package is purchased;
  • the business listing is submitted;
  • the advert is first created; or
  • the advert is approved.

Ventaro will keep the applicable promotional campaign running for at least 30 days, subject to these Terms and any circumstances outside our reasonable control.

A campaign may remain active beyond the minimum 30-day period at Ventaro's discretion. Any additional period does not create an entitlement to future advertising beyond the minimum period purchased.

16. No Guaranteed Advertising or Enquiry Results

Advertising performance varies significantly between businesses, industries, locations, audiences and market conditions.

Accordingly, Ventaro does not guarantee:

  • any minimum advertising spend;
  • any particular number of impressions;
  • any particular reach;
  • any particular number of clicks or website visits;
  • any particular click-through rate or engagement level;
  • any number of enquiries;
  • the quality, seriousness or accuracy of enquiries;
  • that an enquiry will contain complete or accurate contact information;
  • that a person making an enquiry will respond to subsequent contact;
  • that enquiries will not include duplicate, mistaken, spam, fraudulent or otherwise unsuitable submissions;
  • any offers for the business;
  • any particular sale price;
  • that a buyer will be found; or
  • that the business will sell.

Payment is for the listing and/or promotional services described in the relevant package, not for a guaranteed commercial result.

A campaign performing differently from the seller's expectations does not, by itself, mean that Ventaro has failed to provide the purchased service.

17. Meta and Other Third-Party Platforms

Paid promotional campaigns may be delivered through Meta platforms, including Facebook and Instagram.

Ventaro is independent of Meta and does not control Meta's systems, policies, algorithms, advertising review procedures, targeting options, placements, advertising formats, availability or technical infrastructure.

Advertisements may be reviewed, restricted, rejected or delayed by Meta.

Meta or another advertising platform may change or remove targeting options, placements, advertising formats, technical functionality or other features. Where this occurs, Ventaro may make reasonable adjustments to a campaign, its targeting, placement, format or delivery where necessary to continue providing the promotional service.

Where a third-party platform prevents an advertisement from being delivered in its intended form, Ventaro may make reasonable modifications or use an alternative suitable format in order to provide the promotional service.

Reasonable adjustments required because of third-party platform requirements or changes do not, by themselves, mean that Ventaro has failed to provide the purchased service.

Nothing in these Terms implies endorsement of Ventaro by Meta or any other third-party platform.

18. Enquiries from Meta and Other Advertising Platforms

Prospective buyers may submit enquiries directly through Ventaro or through advertising and lead-generation services operated by third-party platforms, including Facebook and Instagram Lead Ads and Instant Forms.

Where an enquiry submitted through a third-party platform relates to a particular business advertised on Ventaro, Ventaro may receive that enquiry from the platform and route it to the seller of the relevant business.

Information supplied through such an enquiry may include the prospective buyer's name, email address, telephone number and other information requested in or voluntarily submitted through the relevant form.

The operation of third-party lead forms and the transmission of information from those platforms may depend upon systems outside Ventaro's control. Ventaro does not guarantee uninterrupted availability or delivery of enquiries from a third-party platform.

Personal information received through advertising or lead forms is handled in accordance with Ventaro's Privacy Policy.

19. Cancellations and Refunds

For paid promotional packages, a seller may request cancellation and a refund up until Ventaro begins creating the promotional advert.

Once Ventaro has begun creating the advert, the promotional service has commenced and the package becomes non-refundable, except where required by law or where Ventaro agrees otherwise.

This means that a refund will not ordinarily be available where:

  • advert creation has begun;
  • an advert has been sent for approval;
  • the seller changes their mind after work has commenced;
  • the seller stops responding;
  • the campaign has launched;
  • the seller is dissatisfied with advertising performance where the contracted service has been provided;
  • the business is withdrawn from sale; or
  • the business sells before the promotional period has ended.

If a business sells or is withdrawn during an active promotional campaign, the seller should notify Ventaro promptly so that we can take reasonable steps regarding the listing and advertising.

Where Ventaro is unable to provide a paid service due solely to circumstances within our reasonable control, we may provide an appropriate remedy, which may include re-performance, an alternative service, a partial refund or a full refund depending upon the circumstances.

20. Business Location and Confidentiality

Ventaro listings ordinarily display a general business location, such as the relevant town or city.

A precise trading address is not required to be displayed unless the seller specifically chooses to provide or disclose it.

Where a listing is designated as a Confidential Sale, identifying information and imagery may be restricted so that the identity of the business or premises is not directly disclosed within the public listing.

However, Ventaro cannot guarantee complete anonymity.

Depending on the nature of a business and the information supplied by the seller, a third party may be able to infer or identify the business from factors such as its location, sector, financial information, trading history, description or other characteristics.

Sellers are responsible for considering the level of information they are comfortable disclosing.

21. Seller Account and Self-Service Management

Ventaro provides sellers with account and dashboard functionality through which they may be able to create and manage listings, view and manage enquiries, update information, manage listing status and access other seller features made available by Ventaro.

Sellers are responsible for keeping information associated with their account and listings accurate and up to date.

Where a business is no longer available for sale, including because it has been sold or withdrawn, the seller should update its status or notify Ventaro as soon as reasonably practicable.

Changes made by a seller through their account may be subject to moderation, technical processing or review before becoming publicly visible.

Ventaro may add, remove or change dashboard and self-service functionality from time to time where this does not materially reduce a paid service already purchased.

22. Seller Content and Intellectual Property

The seller retains ownership of photographs, logos, text and other materials that they own and provide to Ventaro.

By providing those materials, the seller grants Ventaro a non-exclusive, worldwide, royalty-free licence for the duration reasonably necessary to:

  • publish and operate the business listing;
  • advertise the business;
  • create promotional material;
  • use the material in Meta and other relevant advertising;
  • promote the listing through Ventaro's website, social channels and marketing activity; and
  • perform the services purchased by the seller.

The seller confirms that they own the materials supplied or otherwise have permission to allow Ventaro to use them in this way.

The seller is responsible for claims arising from material they provide where they do not have the necessary rights to use or supply that material.

23. Ventaro Intellectual Property

The Ventaro website, brand, software, layouts, advertising templates, design system, tools, calculators and original creative material produced by Ventaro remain the property of Ventaro or its licensors.

Purchasing a promotional package does not transfer ownership of Ventaro's underlying templates, design system or other intellectual property to the seller.

A seller may share or display the finished promotional material created for their business for reasonable purposes connected with promoting the sale of that business.

They may not reproduce, commercially exploit, resell or use Ventaro's underlying templates, design system, tools or software to create substantially similar products or services without our permission.

24. Tools, Calculators and Assessments

Ventaro may provide online tools, calculators, assessments and other informational resources. These may include business valuation, sale-readiness, estimated sale proceeds and business-finance tools.

These tools are provided for general information, planning and indicative purposes only.

Results produced by a Ventaro tool or calculator are estimates and should not be treated as a professional business valuation, financial advice, investment advice, tax advice, legal advice, accounting advice, a lending decision or an offer of finance.

Outputs may be generated using information entered by the user together with assumptions, formulas, ranges, scoring methods or other calculation methodologies used by Ventaro.

Ventaro does not independently verify information entered into a tool or calculator and does not guarantee that any input is accurate or complete.

Actual business values, transaction proceeds, tax liabilities, professional fees, finance costs, interest rates, lender decisions and other outcomes may differ materially from an estimate produced by a Ventaro tool.

Users should obtain appropriate independent professional advice before making a material financial, legal, investment, lending, tax or business-sale decision.

Ventaro does not guarantee that a business will sell for an amount indicated by a valuation tool, that a seller will receive the proceeds estimated by a calculator, or that finance will be available on terms indicated by a finance calculator.

25. Prohibited and Unacceptable Listings

Businesses connected with illegal or fraudulent activity may not be listed on Ventaro.

Users must not use Ventaro to:

  • commit or facilitate fraud;
  • mislead prospective buyers;
  • advertise a business that does not genuinely exist or is not genuinely available for sale;
  • impersonate another person or business;
  • infringe intellectual property or other third-party rights;
  • upload malicious or unlawful content; or
  • engage in activity contrary to applicable law.

Ventaro may refuse, suspend or remove any listing or account where we reasonably believe these Terms have been breached.

26. Moderation and Removal

Ventaro reserves the right to review, reject, edit, suspend or remove listings where reasonably necessary to operate and protect the marketplace.

This may include listings that we consider:

  • misleading or materially inaccurate;
  • fraudulent or suspicious;
  • unlawful;
  • inappropriate;
  • duplicated;
  • technically unsuitable;
  • infringing of third-party rights;
  • harmful to Ventaro, its users or its reputation; or
  • otherwise unsuitable for the marketplace.

Where practical, Ventaro may give the seller an opportunity to correct an issue before removing a listing, but we are not required to do so where immediate action is reasonably necessary.

Minor formatting, spelling, presentation or categorisation changes may be made by Ventaro without prior approval where they do not materially alter the substance of the seller's listing.

27. Buyer and Seller Communications

Ventaro may provide functionality that enables prospective buyers and sellers to make contact. Enquiries may originate through Ventaro itself or through third-party advertising and lead-generation platforms used by Ventaro.

Ventaro does not guarantee the identity, intentions, financial capacity, honesty or suitability of any person making or receiving an enquiry.

Users should exercise appropriate caution before sharing commercially sensitive, financial or personal information.

Sellers and buyers are responsible for deciding what information to disclose and when.

Ventaro is not a party to communications, negotiations or agreements subsequently entered into between buyers and sellers unless expressly stated otherwise.

28. Transactions Between Buyers and Sellers

Any agreement to buy or sell a business is solely between the relevant buyer and seller.

Ventaro is not a party to that agreement.

Each party is responsible for obtaining appropriate professional advice and carrying out appropriate due diligence before entering into a transaction.

Ventaro accepts no responsibility for:

  • whether a buyer proceeds with a transaction;
  • whether a seller accepts an offer;
  • the terms negotiated between the parties;
  • the accuracy of information exchanged directly between users;
  • the financing of a transaction;
  • the legal or tax structure of a transaction;
  • disputes arising between buyer and seller; or
  • the ultimate success or failure of a proposed transaction,

except to the extent that responsibility cannot lawfully be excluded.

29. Accounts and Security

Users are responsible for providing accurate account information and keeping their login details secure.

You must not knowingly allow another person to use your account in a way that breaches these Terms.

You should notify Ventaro promptly if you believe your account has been compromised.

Ventaro may suspend access to an account where we reasonably believe there is fraudulent, abusive, unlawful or unauthorised activity.

30. Service Communications

By creating an account, submitting a listing or purchasing a service, you acknowledge that Ventaro may send communications necessary to operate the service.

These may include:

  • account communications;
  • listing submission and approval emails;
  • listing expiry notifications;
  • buyer enquiry notifications;
  • advert approval requests;
  • amendment notifications;
  • approval reminders;
  • campaign launch notifications;
  • promotion and listing expiry or extension notifications;
  • service-status communications; and
  • other operational messages relating to a listing or purchased service.

These are service communications and are separate from optional promotional or marketing communications.

Users are responsible for providing a valid email address and keeping their contact details current.

Ventaro is not responsible for a user failing to act on a service communication because an email address supplied by the user is incorrect, inaccessible or no longer monitored, or because an email is filtered by the user's email provider.

31. Availability of Ventaro

We aim to keep Ventaro available and functioning reliably, but we do not guarantee uninterrupted or error-free availability.

The website may occasionally be unavailable because of:

  • maintenance;
  • upgrades;
  • hosting or infrastructure problems;
  • security incidents;
  • third-party service failures; or
  • circumstances outside our reasonable control.

We may change, update or improve website functionality from time to time.

Temporary website unavailability does not automatically entitle a user to a refund where the purchased service can still reasonably be provided.

32. Changes to Services and Prices

Ventaro may change its packages, features and prices from time to time.

Any change will apply to future purchases and will not retrospectively reduce a service already purchased.

The price and package description shown when an order is placed will determine the service purchased, subject to any obvious pricing or technical error.

Promotional pricing, including free listings, may be withdrawn or changed at any time for future listings.

33. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to the above, Ventaro will not be responsible for losses arising from:

  • inaccurate, incomplete or misleading information supplied by a seller;
  • a buyer or seller failing to conduct appropriate due diligence;
  • decisions made in reliance on a business listing;
  • decisions made in reliance on an indicative tool, calculator or assessment;
  • the acts or omissions of buyers, sellers or other third parties;
  • negotiations or transactions between users;
  • a business failing to sell;
  • a seller failing to achieve an expected sale price;
  • the performance of an advertising campaign;
  • the quality, accuracy or outcome of buyer enquiries;
  • loss of anticipated profits, revenue, business opportunities, goodwill or expected savings;
  • third-party advertising platforms or other services outside Ventaro's reasonable control; or
  • circumstances that Ventaro could not reasonably have prevented.

To the fullest extent permitted by law, Ventaro's total aggregate liability arising out of or in connection with a particular paid service will not exceed the amount actually paid to Ventaro for the service giving rise to the claim.

The limitations in this section are intended to allocate commercial risk between businesses and apply only to the extent permitted by applicable law.

34. Indemnity for Seller-Supplied Material and Information

Where a claim, loss or reasonable cost is incurred by Ventaro because a seller:

  • supplied content they did not have permission to use;
  • knowingly or negligently supplied materially false or misleading information;
  • advertised a business without authority; or
  • used Ventaro in breach of applicable law,

the seller will be responsible for the reasonably foreseeable losses and costs directly resulting from that breach, subject to applicable law.

35. Suspension and Termination

Ventaro may suspend or terminate an account or listing where a user materially breaches these Terms, engages in fraudulent or unlawful conduct, creates a material risk to other users, or repeatedly misuses the platform.

Where appropriate, we may give the user an opportunity to remedy a breach before termination.

Serious fraud, unlawful activity or other serious misuse may result in immediate suspension or termination.

Termination does not affect rights or liabilities that arose before termination.

36. Privacy and Personal Information

Ventaro processes personal information in accordance with its Privacy Policy.

The Privacy Policy explains what personal information we collect, including information that may be received through Facebook and Instagram Lead Ads and Instant Forms, why we use it, who it may be shared with, how long it may be retained and the rights available to individuals under applicable data-protection law.

Our use of cookies and similar technologies is explained in our Cookie Policy.

These documents should be read alongside these Terms.

37. Events Outside Our Reasonable Control

Ventaro will not be responsible for delay or failure to perform an obligation where this results from circumstances outside our reasonable control.

These may include failures or restrictions affecting hosting providers, payment services, advertising platforms, internet infrastructure, telecommunications, cyber incidents, governmental action, severe weather, natural disasters or other events that could not reasonably have been prevented.

Where such an event affects a paid service, Ventaro will take reasonable steps to resume or complete the service when practicable.

38. Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, technology, business practices or applicable law.

The version applying to a paid service will ordinarily be the version in force when that service was purchased.

Updated Terms may apply to continued or future use of the platform after they take effect.

The latest version will be published on the Ventaro website together with its last-updated date.

39. Severability

If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful or unenforceable, that provision will be treated as modified to the minimum extent necessary or, where modification is not possible, removed.

The remaining provisions will continue in effect.

40. No Waiver

If Ventaro does not immediately enforce a right under these Terms, this does not mean that we have waived that right.

A waiver on one occasion does not constitute a waiver on another occasion.

41. Entire Agreement

These Terms, together with any package description, order information, Privacy Policy and other terms expressly incorporated into them, form the agreement between Ventaro and the seller in relation to the relevant service.

Neither party relies upon a statement or representation that is not contained in the agreement, except that nothing in this section limits liability for fraud or fraudulent misrepresentation.

42. Third-Party Rights

Unless expressly stated otherwise, a person who is not a party to the agreement between Ventaro and the relevant user has no right to enforce these Terms.

43. Governing Law and Jurisdiction

These Terms and any dispute or claim arising from them or their subject matter are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction in relation to disputes arising from or connected with these Terms.
